By accessing this website or purchasing services from Kodertal, you agree to follow these Terms and Conditions and any applicable laws. If you do not agree, please do not use our website or services.

Services and Scope

Kodertal provides software, AI, product design, consulting, and related professional services. Specific deliverables, timelines, and acceptance criteria are defined in a written proposal, statement of work (SOW), or signed agreement. If there is a conflict, the signed SOW or agreement controls.

Communication and Client Responsibilities

To deliver successfully, we may require timely access to information, systems, feedback, and decision-makers. You agree to provide accurate project inputs, confirm priorities, and review deliverables within reasonable timelines. Delays caused by missing inputs, blocked access, or late approvals may affect schedules and outcomes.

Project Changes (Change Requests)

If requirements change after scope is agreed, we will document the change, update estimates, and request written approval before proceeding. This protects both parties and keeps delivery predictable.

Fees, Billing, and Payments

Fees are defined in the proposal or SOW. Invoices are due based on the agreed payment schedule. Late payments may pause work until the account is current. Taxes, bank fees, and payment processing fees may apply depending on your location and payment method.

Refunds and Cancellations

Because services involve time and delivery work, refunds are generally not provided for completed work. If you cancel an engagement, you are responsible for fees related to work already performed and any committed costs. Any refund exceptions must be agreed in writing.

Intellectual Property (IP) and Ownership

Unless otherwise stated in a signed agreement:

Project-specific deliverables you pay for (such as custom code, designs, and documentation) are assigned to you upon full payment, subject to any third-party license terms.

We may reuse general knowledge and non-confidential learnings across projects, without disclosing your confidential information.

Third-Party Tools and Services

Projects may involve third-party platforms (e.g., cloud providers, APIs, analytics, LLM services). Your use of these tools is governed by their terms. You are responsible for third-party fees unless the SOW states otherwise. We are not liable for third-party outages, pricing changes, or policy updates.

Confidentiality

Both parties agree to keep confidential information private and use it only to perform the agreed services. Confidential information does not include information that is publicly available, already known prior to disclosure, or independently developed without using confidential materials. If an NDA exists, the NDA governs confidentiality terms.

Security and Data Handling

We apply reasonable security practices appropriate to the engagement, such as access control, least privilege, and secure development workflows. You are responsible for granting access safely and ensuring your environment meets your security requirements. We recommend not sharing sensitive production data unless a written agreement and secure process are in place.

International VisitorsAcceptable Use of Website

You agree not to misuse the site, attempt unauthorized access, introduce malware, scrape restricted content, or interfere with functionality. We may suspend access for misuse or harmful behavior.

Disclaimers

We provide services and the website “as is” and “as available.” While we aim for reliable outcomes, software and AI systems may produce unexpected results. We do not guarantee uninterrupted availability, error-free operation, or specific business outcomes unless explicitly stated in a signed agreement.

Limitation of Liability

To the maximum extent allowed by law, Kodertal is not liable for indirect, incidental, special, or consequential damages (including lost profits, lost data, or business interruption). Our total liability is limited to the amount paid to Kodertal for the specific services in the three months prior to the claim, unless otherwise required by law.

Termination

Either party may terminate an engagement according to the signed agreement or SOW. Upon termination, you will pay for work completed up to the termination date and any non-cancelable commitments. Upon request and subject to payment, we will provide reasonable handover materials defined in scope.

Governing Law

These Terms are governed by the laws specified in your signed agreement or SOW. If no governing law is specified, you agree that disputes will be handled in a mutually agreed jurisdiction.

Updates to These Terms

We may update these Terms from time to time. The latest version will be posted on this page with an updated effective date. Continued use of the website after changes means you accept the updated Terms.
